These Institutional Terms of Service ("Agreement") constitute a legally binding contract between Universal Network Development LLC (d/b/a "UND Industries", "Company") and the institutional licensee or individual user ("Customer").
1. Software Seat Licensing & Permitted Use
Subject to compliance with this Agreement and timely payment of applicable licensing fees, UND Industries grants Customer a limited, non-exclusive, non-transferable, revocable license to execute and utilize the software application(s) solely for internal enterprise or institutional operations.
2. Cryptographic Device Tokens (Exhibit A)
Software seats are cryptographically bound to authorized terminal nodes via salted cryptographic hashes. Reverse engineering, decompiling, or subverting license verification mechanisms is strictly prohibited and constitutes immediate grounds for termination.
3. Federal & Institutional SLA (Exhibit B)
Enterprise and B2G prime teaming tiers receive prioritized 24/7 technical dispatch and guaranteed 99.9% uptime for cloud-connected dispatch bridges. Air-gapped offline runtimes carry zero dependencies on third-party cloud availability.
4. Export Controls & Compliance
Customer agrees to comply fully with all applicable United States export control laws, including the Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR), where applicable.
5. Governing Law & Arbitration
This Agreement is governed by the laws of the State of Florida, United States, without regard to conflicts of law provisions. Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in the State of Florida.
